Entergram is a Customer Relationship Management (CRM) platform integrated with Telegram, enabling users to manage leads, sales pipelines, client support, and related activities through features such as multi-account dashboards, custom data columns, ticketing systems, and metadata exports. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Entergram ("Entergram," "we," "us," or "our"), the provider of the Service. By accessing or using the Service (as defined below), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. We may enforce these Terms through automated systems or manual review.

1. Use of the Service

1.1 Eligibility. You must be at least 18 years of age and possess the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements and are not barred from using the Service under applicable law.

1.2 Account Connection and Security. The Service permits connection of Telegram accounts for CRM functionality. You are solely responsible for the security of your Telegram accounts, including compliance with Telegram's terms. You agree to notify us promptly of any unauthorized access.

1.3 Permitted Use. You may use the Service solely for lawful business or personal purposes consistent with its intended CRM functions, such as organizing chats, tracking leads, and managing support tickets. Prohibited uses include any illegal, fraudulent, or harmful activities.

1.4 User Responsibilities. You are liable for all activities under your account, including accuracy of inputted data (e.g., custom columns, tags, tickets). You must provide truthful information and comply with all applicable laws.

2. Features and Functionality

2.1 Multi-Account Management. The Service supports connection and oversight of multiple Telegram accounts within a unified interface.

2.2 Customization and Ticketing. Users may create, modify, filter, or delete custom data fields (e.g., text, checkboxes) and generate tickets from chats to facilitate sales and support workflows.

2.3 Data Handling. You may export chat metadata (e.g., usernames, member counts, invite links) and request deletion of your data through account settings.

3. Privacy and Data Protection

3.1 Message Processing. The Service does not store, access, or transmit Telegram messages. All message handling occurs client-side in your browser via Telegram's MTProto encryption and is not retained on our servers.

3.2 Metadata Storage. We store only minimal chat metadata necessary for Service operation (e.g., usernames, member counts, invite links), which you may access, export, or delete at any time.

3.3 Data Rights and Compliance. We comply with the General Data Protection Regulation (GDPR) and equivalent laws. You have rights to access, rectification, erasure, restriction, portability, and objection regarding your data. To exercise these, contact us at hello@entergram.com. 4. Intellectual Property

4.1 Ownership and License. All right, title, and interest in the Service, including software, designs, and trademarks, is owned by Entergram or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal purposes.

4.2 User Content. You retain ownership of content you provide (e.g., custom data, tickets). You grant us a worldwide, royalty-free, non-exclusive license to use, process, and store such content solely to deliver and improve the Service.

5. Prohibited Conduct

You covenant not to, directly or indirectly:

- Reverse engineer, decompile, disassemble, or derive the source code of the Service;

- Violate laws, regulations, or third-party rights (including intellectual property);

- Attempt unauthorized access to our systems, data, or user accounts;

- Engage in spamming, harassment, or breaches of Telegram's terms via the Service.

6. Termination and Suspension

6.1 By You. You may terminate your use at any time by ceasing access and deleting your data via settings.

6.2 By Us. We may suspend or terminate your access immediately, without notice, for violations of these Terms, legal requirements, or risks to the Service, users, or our operations. Upon termination, your right to use the Service ends, and you must delete any cached data.

6.3 Survival. Provisions surviving termination include Sections 3, 4, 5, 7, 8, 9, and 10.

7. Limitation of Liability and Indemnification

7.1 Disclaimer of Warranties. The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Liability. To the maximum extent permitted by law, Entergram's total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We disclaim liability for indirect, incidental, consequential, or punitive damages, including lost profits, data, or opportunities.

7.3 Indemnification. You agree to indemnify, defend, and hold harmless Entergram, its affiliates, officers, and agents from claims arising from your use of the Service, violations of these Terms, or infringement of third-party rights.

8. Changes to Terms

We may amend these Terms at our discretion to address Service updates or legal changes. Amendments will be posted here with the updated date. Continued use after notice constitutes acceptance. We may provide notice via email or in-Service alerts for material changes.

9. Governing Law and Dispute Resolution

9.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, excluding conflict of laws principles.

9.2 Dispute Resolution. Any disputes shall first be resolved through good-faith negotiation. Failing that, disputes shall be submitted to binding arbitration in Delaware under the American Arbitration Association rules, with the prevailing party entitled to recover attorneys' fees. You waive rights to class actions or jury trials.

9.3 Severability. If any provision is held invalid, the remainder remains enforceable.

9.4 Waiver. No waiver of any breach is effective unless in writing.

9.5 Entire Agreement. These Terms, including referenced policies, constitute the full agreement between us.
